1. Introduction and Acceptance

Welcome to BaseLayer.id ("Service", "we", "us", or "our"). BaseLayer.id provides a local-first, encrypted memory layer for AI agents, enabling secure, private storage and retrieval of contextual information for artificial intelligence applications.

By accessing or using BaseLayer.id, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Current Status: BaseLayer.id is currently in early access/waitlist phase. Access is limited and features may change as we develop and refine the Service.

2. Service Description

BaseLayer.id provides:

  • Local-First Architecture: Your data is stored primarily on your local infrastructure, ensuring you maintain control and ownership
  • Encrypted Memory Layer: Secure storage for AI agent memory, context, and state information
  • API Access: Programmatic interfaces for AI agents to store and retrieve encrypted data
  • Privacy-Focused Design: End-to-end encryption to protect your data from unauthorized access

The Service is designed for developers, organizations, and individuals building AI agent systems that require persistent, secure memory capabilities.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials and encryption keys
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring the accuracy of information you provide during registration

3.3 Waitlist and Early Access

During the early access phase, access to the Service is by invitation only. Acceptance from the waitlist does not guarantee continued access, as we may limit or suspend access during development.

4. User Responsibilities

As a user of BaseLayer.id, you agree to:

4.1 Lawful Use

Use the Service only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

4.2 Data Accuracy

Ensure that any data you store through the Service does not violate the rights of third parties or applicable laws.

4.3 Security Practices

  • Implement reasonable security measures in your use of the Service
  • Maintain secure backups of your data and encryption keys
  • Not attempt to circumvent security measures or access restrictions

4.4 Resource Usage

Use the Service in a manner that does not impair the performance or functionality of the Service for other users.

5. Acceptable Use Policy

You agree NOT to:

  • Use the Service to store, transmit, or process any illegal content
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems
  • Interfere with or disrupt the Service's integrity or performance
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service to transmit viruses, malware, or other malicious code
  • Violate the intellectual property rights of BaseLayer.id or third parties
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to harass, abuse, or harm others
  • Scrape, spider, or crawl the Service using automated means without permission
  • Store or process personal data in violation of privacy laws (GDPR, CCPA, etc.)
  • Impersonate others or misrepresent your affiliation with any entity

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your access.

6. Intellectual Property Rights

6.1 Service Ownership

BaseLayer.id and all related intellectual property, including but not limited to software, APIs, documentation, logos, and trademarks, are owned by us or our licensors. These Terms do not grant you any ownership rights in the Service.

6.2 Your Data

You retain all ownership rights to the data you store through the Service ("Your Data"). You grant us a limited license to host, store, and process Your Data solely to provide the Service to you.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you.

6.4 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.

7. Privacy and Data Protection

7.1 Local-First Architecture

Our Service is designed with privacy as a core principle. Your data is stored locally on your infrastructure with end-to-end encryption.

7.2 Data Access

Due to the encrypted nature of the Service, we do not have access to the content of Your Data. You are solely responsible for managing your encryption keys.

7.3 Privacy Policy

Our collection and use of any personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.4 Data Loss

You are responsible for maintaining backups of Your Data. Loss of encryption keys may result in permanent data loss, which we cannot recover.

8. Disclaimers and Limitations of Liability

8.1 "As-Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

8.2 Beta/Early Access

During the early access phase, the Service may contain bugs, errors, or incomplete features. We make no warranties regarding the reliability, stability, or availability of the Service during this period.

8.3 No Guarantee

We do not warrant that:

  • The Service will meet your requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • Any errors or defects will be corrected
  • The Service is free from viruses or harmful components

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BASELAYER.ID, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or malware transmitted through the Service
  • Any errors or omissions in content or for any loss or damage incurred as a result of your use of content posted, emailed, transmitted, or otherwise made available through the Service
  • Loss or corruption of Your Data or encryption keys

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless BaseLayer.id, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your violation of applicable laws or regulations
  • Your Data or any content you store through the Service

10. Term and Termination

10.1 Term

These Terms commence when you first access the Service and continue until terminated.

10.2 Termination by You

You may terminate your account at any time by contacting us or through the account settings (when available).

10.3 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including but not limited to:

  • Violation of these Terms
  • Illegal or fraudulent activity
  • Extended periods of inactivity
  • Discontinuation of the Service or early access program

10.4 Effect of Termination

Upon termination:

  • Your right to access and use the Service immediately ceases
  • You remain responsible for any obligations accrued prior to termination
  • We may delete Your Data after a reasonable grace period
  • Sections that by their nature should survive termination will continue to apply

10.5 Data Export

You are responsible for exporting Your Data before termination. After termination, we have no obligation to retain or provide access to Your Data.

11. Changes to Terms

11.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service or notification to you via email.

11.2 Notice of Changes

For material changes, we will provide reasonable advance notice (at least 30 days when practical) before the changes take effect.

11.3 Continued Use

Your continued use of the Service after changes to these Terms constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

11.4 Early Access Changes

During the early access phase, features, pricing, and functionality may change more frequently than after general availability. We will make reasonable efforts to communicate significant changes.

12. General Provisions

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of [Arbitration Body], except that either party may seek injunctive relief in court for intellectual property infringement.

12.3 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and BaseLayer.id regarding the Service.

12.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

12.5 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of that term or any other term.

12.6 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

12.7 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

12.8 Export Compliance

You agree to comply with all applicable export and import laws and regulations regarding the Service and Your Data.

12.9 U.S. Government Rights

If you are a U.S. government entity, the Service is a "commercial item" as defined in 48 C.F.R. 2.101, and is provided with only those rights as are granted to all other users under these Terms.

12.10 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

14. Acknowledgment

BY USING BASELAYER.ID, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

These Terms of Service were last updated on February 9, 2025 and are effective immediately for new users. For existing users during the early access phase, changes will take effect 30 days after notification.
